These Terms of Service (“Terms”) govern your access to and use of the Zedularwebsite and the done-for-you Shopify migration and store-setup services we provide (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Acceptance of Terms
By visiting our website, requesting a discovery call, generating an AI roadmap, or engaging us for services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.
2. Description of Service
Zedular is a done-for-you studio that helps local, physical businesses start selling online with Shopify. The Service may include store setup and configuration, design, migration assistance, an AI-generated roadmap tool, and related guidance. We may add, modify, or discontinue features of the Service at any time without notice.
3. User Responsibilities & Acceptable Use
You agree to provide accurate, current, and complete information when you contact us or use our tools, and to use the Service only for lawful purposes. You agree not to:
- Use the Service in any way that violates applicable laws or regulations.
- Attempt to gain unauthorized access to, interfere with, or disrupt the Service or its underlying systems.
- Submit content that is unlawful, infringing, deceptive, or harmful, or that you do not have the right to share.
- Misuse our AI roadmap tool, including by submitting false information or attempting to reverse-engineer our systems.
4. Intellectual Property
The Service and its original content, features, branding, and functionality are and will remain the exclusive property of Zedular and its licensors, and are protected by applicable intellectual property laws. You retain ownership of the content and materials you provide to us; you grant us a limited license to use them solely to deliver the Service. Deliverables we create for you transfer to you as set out in your specific engagement agreement, where applicable.
5. Third-Party Links & Affiliate Disclosure
The Service contains links to third-party websites and platforms, including Shopify. Some of these links are affiliate or referral links, which means we may earn a commission or other compensation if you sign up or make a purchase through them, at no additional cost to you. We are not responsible for the content, products, services, or practices of any third-party websites, and your use of them is governed by their own terms and policies.
6. Disclaimers
The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any roadmap, recommendation, or estimate will produce specific business or revenue results.
7. Limitation of Liability
To the fullest extent permitted by law, Zedular and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us, if any, for the services giving rise to the claim.
8. Termination
We may suspend or terminate your access to the Service at any time, without prior notice or liability, for any reason, including if you breach these Terms. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and limitation of liability — will survive.
9. Changes to the Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Changes are effective when posted. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
